1. Acceptance of Terms
By accessing or using EzeRFP, you agree to these Terms of Service. If you do not agree, you may not use the platform.
If you use the platform on behalf of an organization, you represent that you have authority to bind that organization.
2. Services Provided
EzeRFP provides a cloud-based platform enabling organizations to:
· Store documents
· Organize knowledge repositories
· Generate AI-assisted responses
· Produce draft proposal content
3. Accounts & Responsibilities
You are responsible for:
· Maintaining account security
· Controlling access within your organization
· Ensuring uploaded content complies with applicable laws
4. Customer Data Ownership
Customers retain all rights to their data.
EzeRFP processes data only to provide the service.
5. Acceptable Use
You agree not to use the platform to:
· Upload unlawful or harmful content
· Violate intellectual property rights
· Attempt unauthorized access
· Interfere with system integration

6. AI-Generated Content Disclaimer
AI responses:
· Are generated from available data
· May contain inaccuracies
· Should be reviewed by users before use
EzeRFP does not guarantee completeness or accuracy.
7. Subscription & Billing
Plans may include:
· Free trials
· Paid subscriptions
Failure to renew may result in suspension and eventual data deletion according to retention policies.
8. Service Availability
We aim for high availability but do not guarantee uninterrupted service.
Maintenance or outages may occur.
9. Limitation of Liability
To the maximum extent permitted by law, EzeRFP is not liable for:
· Indirect or consequential damages
· Loss of business opportunities
· Reliance on AI-generated content
10. Indemnification
You agree to indemnify EzeRFP against claims arising from misuse of the platform or violation of these terms.
11. Termination
We may suspend or terminate access for violations of these terms.
Customers may terminate accounts at any time.
12. Governing Law
These Terms are governed by the laws of the Province of Alberta, Canada.
13. Confidentiality
Each party agrees to protect the other party’s confidential information using reasonable safeguards and to use such information only for purposes of providing or using the service.
Confidential Information includes non-public business, technical, financial, and operational information, including proposal materials and internal documentation uploaded to the platform.
This obligation survives termination of the agreement.
14. Data Processing & Security
EzeRFP implements commercially reasonable technical and organizational measures to protect Customer Data from unauthorized access, disclosure, alteration, or destruction.
Customers are responsible for maintaining the security of their own credentials, devices, and connected storage systems.
EzeRFP may process Customer Data solely to provide, maintain, and improve the service, including generating anonymized usage analytics that do not identify individual organizations or users.
15. AI Functionality and User Responsibility
EzeRFP uses artificial intelligence to generate draft responses and insights based on Customer Data and available information.
AI-generated outputs:
• Are probabilistic and may contain inaccuracies or omissions
• Do not constitute legal, financial, or professional advice
• Should be reviewed and validated by qualified personnel before use
• Do not guarantee compliance with any RFP requirements
Customers are solely responsible for final proposal content, submission decisions, and business outcomes.
EzeRFP is not responsible for decisions made based on AI-generated outputs.
16. Aggregated and Anonymized Data
EzeRFP may collect and use aggregated, anonymized usage data for purposes including:
• Service improvement
• Performance monitoring
• Feature development
• Statistical reporting
Such data will not identify individual customers or expose proprietary content.
17. Intellectual Property
EzeRFP retains all rights, title, and interest in the platform, software, AI models, and related technology.
Nothing in these Terms grants customers any ownership rights in the service.
Customers retain ownership of their uploaded data and content.
18. Third-Party Storage and Integrations
EzeRFP may integrate with third-party storage providers or services selected by the customer.
EzeRFP is not responsible for:
• Availability of third-party services
• Data loss or breaches occurring within those services
• Compliance obligations specific to third-party platforms
Customers are responsible for ensuring their use of external systems complies with applicable policies and regulations.
19. No Guarantee of Proposal Success
EzeRFP provides tools to assist in preparing responses but does not guarantee:
• Winning of any RFP or contract
• Evaluation scores
• Compliance determinations
• Business outcomes
Proposal success depends on multiple external factors beyond the control of EzeRFP.
20. Suspension for Security or Misuse
EzeRFP may suspend access if necessary to:
• Protect system integrity
• Prevent unauthorized activity
• Address legal or security concerns
We will make reasonable efforts to notify affected customers.
